This Terms of Service agreement ("Terms") is between you, the individual using the web-based and mobile services at clinic.today and related platforms ("ClinicToday Services"), and ClinicToday, Inc., a Delaware corporation ("ClinicToday" or "we").

Your use of ClinicToday Services is subject to the terms and conditions stated below. By accessing or using our services, you agree to be bound by these Terms.

1. Service Description and Limitations

1.1 Emergency Disclaimer

ClinicToday is not designed for emergency situations. Using our platform does not trigger legal obligations for emergency treatment. In case of medical emergency, call 911 immediately.

1.2 Technology Platform Only

  • ClinicToday does not provide healthcare services
  • We connect you with independent healthcare providers
  • We do not endorse any provider or guarantee care quality
  • Provider credentials, specialties, charges, and qualifications are your responsibility to verify

1.3 Service Overview

ClinicToday helps you identify healthcare providers, schedule appointments, facilitate healthcare connections, and access practice management tools (for providers).

2. User Eligibility and Permitted Use

2.1 Age Requirement

You must be 18 years or older to use ClinicToday services.

2.2 Permitted Use

  • Personal Use: For yourself, family members, or household relationships only
  • Healthcare Purpose: Legitimate healthcare appointment scheduling and provider discovery
  • Compliance: Must comply with all applicable laws and regulations

2.3 Prohibited Activities

You may NOT use ClinicToday services for:

(a) Business or Commercial Activities:

  • Using the platform as part of any business operations
  • Reselling or redistributing platform access
  • Commercial data collection or market research

(b) Competitive Intelligence and Data Protection:

  • Data Scraping: Systematic collection or extraction of platform data
  • Reverse Engineering: Attempting to discover underlying systems, algorithms, or business methods
  • Competitive Research: Using platform access to gather information for competitive purposes
  • Unauthorized Documentation: Creating detailed platform documentation for external or competitive use

(c) General Prohibited Conduct:

  • Violating any applicable laws or regulations
  • Impersonating any person or entity
  • Interfering with or disrupting platform operations
  • Collecting personal data about other users without consent
  • Sharing login credentials or providing unauthorized platform access
  • Transmitting harmful, threatening, abusive, or objectionable content

2.4 Communication Guidelines

  • Platform messaging facilitates appointment scheduling only
  • Do not share health information through platform messaging
  • For medical discussions, contact providers directly via phone or their secure systems
  • Communications should be respectful and appropriate

3. Account Security and Responsibility

3.1 Account Management

  • Maintain confidentiality of your account credentials
  • Immediately report unauthorized account access to us
  • You are responsible for all activities under your account
  • Provide accurate, current, and complete registration information

3.2 Account Termination

  • You may stop using ClinicToday services at any time
  • We may terminate or suspend access for violations of these Terms
  • Provider accounts have separate termination provisions in provider agreements

4. Fees and Payment Terms

4.1 Patient Services

  • ClinicToday platform use is free for patients
  • Healthcare providers set their own service charges
  • Virtual appointment payments may be processed through secure third-party payment systems
  • You are responsible for any fees charged by healthcare providers

4.2 Provider Services

  • Healthcare providers pay monthly subscription fees as specified in separate provider agreements
  • Zero-commission model: Providers retain patient payments minus third-party processing fees only
  • Provider fee structures are detailed in separate provider service agreements

5. Intellectual Property and Confidentiality

5.1 ClinicToday Ownership

ClinicToday retains all rights, title, and interest in the platform, including:

  • Software, algorithms, and technical systems
  • Business methods and processes
  • User interface and experience design
  • Analytics and aggregated data insights
  • Trademarks, logos, and branding

5.2 User License

We grant you a limited, non-exclusive, non-transferable, revocable license to use ClinicToday services for legitimate healthcare purposes only.

5.3 Restrictions on Use

You may not:

  • Modify, adapt, or create derivative works of the service
  • Sublicense, resell, or distribute access to the service
  • Use the service for any unlawful purpose or in violation of professional standards
  • Access the service through automated means or bots (except as specifically authorized)

5.4 Feedback and Improvements

Any feedback, suggestions, or improvements you provide may be used by ClinicToday without compensation or attribution.

6. Electronic Signatures and Legal Validity

6.1 Electronic Agreement Acceptance

These Terms may be accepted electronically. Electronic signatures have the same legal effect as handwritten signatures under applicable law.

6.2 Electronic Signature Tools

  • Electronic signature tools provided by ClinicToday are technology utilities only
  • Users maintain exclusive ownership and control of all signature data and signed documents
  • ClinicToday provides the capture mechanism but does not access, store, or control signature content
  • All signature data belongs to the signing party

7. Third-Party Links and Services

7.1 External Links

ClinicToday includes links to healthcare provider websites and third-party services. These links are provided for convenience only.

7.2 No Endorsement

We do not endorse linked sites or assume responsibility for their:

  • Content accuracy or currency
  • Privacy practices or terms of service
  • Products, services, or information provided
  • Your interactions or transactions with them

7.3 User Responsibility

You agree that ClinicToday is not responsible for external sites and is not liable for any issues arising from your use of linked sites.

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimers

ClinicToday services are provided "AS IS" without warranties of any kind. We disclaim all warranties, express or implied, including:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of information
  • Uninterrupted or error-free service operation

8.2 Healthcare Disclaimers

  • No Medical Advice: We provide no medical advice, diagnosis, or treatment
  • Provider Independence: Healthcare providers are independent contractors, not our employees or agents
  • No Quality Guarantees: We do not guarantee provider availability, credentials, or quality of care
  • Information Accuracy: Provider-supplied information may not be current or accurate

8.3 Liability Limitations

To the maximum extent permitted by law:

(a) Excluded Damages:

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, revenue, or business opportunities
  • Loss of data, use, goodwill, or other intangible losses
  • Medical malpractice or healthcare-related damages
  • Damages arising from provider actions or omissions

(b) Maximum Liability:

Our total liability for direct damages shall not exceed the greater of:

  • Fifty dollars ($50), or
  • The amount you paid for services in the preceding 12 months

(c) Risk Allocation:

These limitations reflect our role as a technology platform facilitator and the agreed allocation of risk between parties.

8.4 Exceptions to Limitations

Liability limitations do not apply to:

  • Gross negligence or willful misconduct by ClinicToday
  • Violations of applicable law that cannot be limited
  • Death or personal injury caused by our negligence

9. Dispute Resolution and Legal Terms

9.1 Governing Law

These Terms are governed by Delaware law without regard to conflict of law principles.

9.2 Jurisdiction

Exclusive jurisdiction for any disputes shall be in Delaware state or federal courts, and you consent to personal jurisdiction in these courts.

9.3 Dispute Resolution Process

Before filing any legal action, you agree to:

  1. Contact ClinicToday in writing to attempt good faith resolution
  2. Participate in reasonable settlement discussions for at least 30 days
  3. Consider alternative dispute resolution methods if direct negotiation fails

9.4 Jury Trial Waiver

To the extent permitted by law, both parties waive the right to jury trial for disputes arising from these Terms.

9.5 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or collective proceedings.
